Seller Agreement
DRAFT — for lawyer review. Not in effect. This catalog is still sample data.
The seller appoints BotSKU as marketplace facilitator. BotSKU is the merchant of record for the buyer’s payment. The seller fulfills the goods from a US warehouse, ships within 2 business days, and uploads tracking within 48 hours of payment. Late shipments are flagged overdue and the seller is reminded by email.
The seller’s commission rate and any promotional rate and expiry are the values stored on the seller account. The default rate is 8% of item price plus shipping, excluding sales tax. The first 20 sellers receive 5% on the same base until the stored expiry after six calendar months. There are no listing, monthly, or advertising fees. BotSKU retains collected sales tax and remits it; tax never enters the seller payout.
Payouts are weekly Stripe transfers for sub-orders delivered at least 14 days earlier, with no open return, and only after the seller finishes Stripe Connect Express onboarding. Seller net is item price plus shipping, minus commission and the seller share of refunds. Refunded tax is reversed from BotSKU’s tax payable, not charged to the seller. A post-transfer seller refund debit is deducted from future payouts and remains visible to administrators until recovered. The seller keeps prices and stock current by CSV or XLSX upload or the inventory API. BotSKU reserves stock at Checkout session creation, commits it after payment, and releases it on cancellation or expiry; an oversell is flagged if stock changed unexpectedly.
